CVC & CD&R finalise investment in Epicor software firm

CVC and Clayton, Dubilier & Rice (CD&R) have successfully concluded their investment in Epicor, a provider of industry-specific enterprise software.

The announcement follows a definitive agreement from August 2024, where CD&R decided to sell a significant ownership stake in Epicor to funds managed by CVC. This transaction, which has now received the necessary approvals, did not disclose the financial terms involved.

With the investment complete, CVC and CD&R will both have governance responsibilities on Epicor's Board. This shared governance comes as Epicor aims to bolster its offerings and expand its market reach.

Barclays acted as the lead financial advisor in the transaction, while Goldman Sachs & Co. LLC also provided financial advisory services. Debevoise & Plimpton offered legal advice to CD&R and Epicor. On the side of CVC, Jefferies LLC and Evercore served as financial advisors, with White & Case as their legal advisor.
